1. Agreement to Terms
These Terms of Service, together with any supplemental policies or documents referenced herein, form the complete agreement between you and OpenLimits. By accessing or using the Service in any capacity, you confirm that you have read, understood, and agree to be bound by all provisions set forth below. If you do not accept these terms, you must immediately cease all use of the Service.
We reserve the right to update or revise these Terms at any time at our sole discretion. Any changes will be reflected by an updated “Last updated” date at the top of this page. You waive any entitlement to individualized notice of such changes. Your continued use of the Service following any revision constitutes your acceptance of and agreement to the modified terms.
The Service is not designed to comply with sector-specific regulatory frameworks (such as HIPAA or FISMA). If your use would fall under such regulations, you should not use this Service. The Service is intended for users who are at least 18 years of age. By using the Service, you represent that you meet this age requirement.
2. Description of Service
OpenLimits provides a managed platform for accessing AI language model capabilities. The Service includes authenticated API endpoints, an administrative dashboard, usage monitoring, and associated tools. OpenLimits facilitates access to third-party AI services and does not itself produce model-generated content.
3. Intellectual Property
All source code, software, database schemas, website designs, user interface elements, graphics, logos, and documentation comprising the Service (collectively, “the Content”) are the exclusive property of OpenLimits or its licensors and are protected under applicable copyright, trademark, and intellectual property laws. No Content may be copied, reproduced, republished, distributed, sold, licensed, or exploited for any purpose without our express prior written consent.
Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for its intended purpose. All rights not expressly granted herein are reserved by OpenLimits.
4. User Accounts and API Keys
Upon registration, you are assigned an API key that serves as your authentication credential. You bear full responsibility for:
- Safeguarding the confidentiality of your API key and any dashboard credentials
- All activity conducted under your account or API key, whether or not authorized by you
- Promptly notifying us of any unauthorized access or security breach involving your account
You must not share, sell, lease, or transfer your API key or account access to any third party. Providing false or misleading information during registration may result in immediate account termination. We reserve the right to monitor new accounts, and to suspend, disable, or permanently delete any account at our sole discretion, with or without cause and with or without notice. If your account is terminated for policy violations, you may not create a replacement account.
5. User Representations
By using the Service, you represent and warrant that:
- All information you provide is truthful, accurate, current, and complete
- You will maintain and promptly update your information as necessary
- You have full legal capacity to enter into and comply with these Terms
- You are at least 18 years of age
- You will not access the Service through automated means (bots, scrapers, or similar) except through the intended API endpoints
- You will not use the Service for any unlawful or unauthorized purpose
- Your use will not contravene any applicable law or regulation
Should any of the above representations prove untrue, inaccurate, or incomplete, we reserve the right to suspend or terminate your account and deny all current and future access to the Service.
6. Payment and Billing
All plans are prepaid. There are no automatic subscriptions or recurring charges unless explicitly stated. Pricing may change at any time; however, any access already purchased will be honored at the price originally paid.
Refunds are governed exclusively by our Refund Policy. By completing a purchase, you confirm that you have reviewed and accepted the Refund Policy in its entirety.
7. Prohibited Activities
The Service may only be used for its intended purpose. You agree not to engage in any of the following:
- Using the Service for any illegal, fraudulent, or unauthorized purpose
- Violating Anthropic's Acceptable Use Policy or any other upstream provider policies
- Attempting to circumvent, disable, or interfere with usage limits, rate limiting, authentication mechanisms, or any security features of the Service
- Reselling, sublicensing, or redistributing access to the Service without explicit written authorization
- Reverse-engineering, decompiling, or disassembling any portion of the Service's software or infrastructure
- Systematically extracting data, scraping, or harvesting content from the Service or dashboard
- Using the Service to build, train, or improve competing products or services
- Interfering with, disrupting, or placing undue burden on the Service or its connected infrastructure
- Uploading, transmitting, or introducing malicious code, viruses, or any material designed to damage or compromise the Service
- Impersonating another user, person, or entity
- Creating multiple accounts to circumvent restrictions or abuse promotional offers
- Harassing, threatening, or intimidating other users or OpenLimits personnel
- Selling, transferring, or trading your account for monetary or other consideration
- Attempting to attack, exploit, or compromise the security of our servers or infrastructure
- Disparaging or defaming OpenLimits or the Service with intent to cause reputational harm
8. Fair Use Policy
The Service is subject to a fair use policy. We expect all users to consume resources in a manner that is reasonable and consistent with normal usage patterns. The following activities are considered violations of our fair use policy:
- Excessive or disproportionate usage that significantly exceeds typical consumption patterns for your plan tier
- Sending high volumes of requests in rapid succession (spamming), including automated request flooding or programmatic abuse
- Deliberately wasting or consuming provider capacity in a manner that degrades service quality for other users
- Exploiting pricing structures, promotional offers, or plan features in ways contrary to their intended purpose
- Any other conduct that we reasonably determine constitutes abuse of the Service or its resources
We reserve the right, at our sole discretion, to determine what constitutes a violation of this fair use policy. If we determine that your usage violates this policy, we may throttle, suspend, or permanently terminate your account without prior notice. Accounts suspended or terminated for fair use violations are not eligible for refunds of any prepaid fees, credits, or unused balance.
We may implement and enforce automated usage limits, rate controls, or other technical measures to ensure compliance with this policy. Such measures may be applied or adjusted at any time without prior notice.
9. Submissions and Feedback
Any feedback, suggestions, ideas, bug reports, or other communications you voluntarily submit to us (“Submissions”) shall be treated as non-confidential and become the sole property of OpenLimits. We acquire all rights, including intellectual property rights, in such Submissions and may use, reproduce, distribute, and commercialize them without restriction, attribution, or compensation to you. You waive any moral rights in your Submissions to the extent permitted by law.
10. Third-Party Services and Content
The Service integrates with and depends upon third-party services, including but not limited to the Anthropic API and Cloudflare infrastructure. We do not control, endorse, or assume responsibility for the content, policies, availability, or practices of any third-party service. Your interactions with third-party services are governed by their respective terms and policies, and you access them at your own risk.
Any links to external websites or resources provided through the Service are for convenience only. We are not liable for any loss or damage arising from your use of or reliance on third-party services, content, or products.
11. Service Management and Availability
We reserve the right, but assume no obligation, to:
- Monitor the Service for violations of these Terms
- Take appropriate action, including legal action, against anyone who violates these Terms or applicable law
- Restrict, limit, or disable access to any feature or portion of the Service at our discretion
- Remove or disable content or functionality that is excessive, burdensome, or objectionable
- Manage the Service to protect our rights, property, and the proper functioning of the platform
We do not guarantee uninterrupted or error-free service. The Service relies on third-party infrastructure (Cloudflare, Anthropic) and may experience outages, interruptions, or performance degradation due to factors beyond our control. We may perform maintenance, deploy updates, or modify features at any time with or without prior notice. We have no obligation to maintain backward compatibility or provide corrections, patches, or updates.
12. Content and User Data
- You retain full ownership of all content you transmit through the Service
- We do not log, inspect, or store the content of your API requests or responses — your data passes through to Anthropic and is governed by their policies
- We collect only usage metadata (token counts, model identifiers, timestamps, status codes) as described in our Privacy Policy
We maintain certain operational data related to your use of the Service for performance monitoring and analytics. While we perform routine data backups, you are solely responsible for any data you transmit. We shall have no liability for any loss or corruption of your data, and you waive any claims against us arising from such events.
13. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection, processing, and storage of your information as described therein. We do not knowingly solicit or collect information from individuals under the age of 18.
14. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.
15. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OPENLIMITS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
OUR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO OPENLIMITS IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
16. Termination
These Terms remain in effect for the duration of your use of the Service. We reserve the right to deny access, suspend, or terminate your account at any time, for any reason or no reason, with or without notice or liability. This includes, without limitation, blocking specific IP addresses, revoking API keys, and deleting account data.
If your account is terminated for breach of these Terms, you are prohibited from registering a new account, whether under your own name, an alias, or on behalf of a third party. We reserve the right to pursue any available legal remedies in addition to account termination.
You may discontinue use of the Service at any time. Prepaid fees are non-refundable upon termination except as provided in our Refund Policy.
17. Governing Law and Disputes
These Terms shall be governed by and interpreted in accordance with applicable law, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved in a court of competent jurisdiction. You consent to personal jurisdiction in such courts and waive any objection based on inconvenient forum.
18. Miscellaneous
Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision. If any part of these Terms is found to be unlawful, void, or unenforceable, that part shall be severed without affecting the validity of the remaining provisions. These Terms operate to the fullest extent permissible by law. We may assign our rights and obligations under these Terms to any party at any time. We shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control. No joint venture, partnership, employment, or agency relationship is created by these Terms. You agree that these Terms shall not be construed against us by virtue of having drafted them. You waive any defenses based on the electronic form of these Terms or the absence of physical signatures.
